Digits AIR Partner Addendum
This Digits AIR Partner Addendum (this “Addendum”) sets out the terms and conditions applicable to accountants and bookkeepers who wish to be Digits partners and participate in the Digits AIR Partner Program (the “Program”).
This Addendum:
- (a) Is incorporated by reference into the Digits Terms of Service located at https://my.digits.com/legal/terms-of-service (as updated from time to time, the “TOS”) entered into by you (as Customer thereunder) and Digits.
- (b) Forms part of the “Agreement” thereunder.
- (c) Constitutes program-specific terms thereunder.
Capitalized terms used in this Addendum but not defined herein will have the meanings given in the TOS.
The Program constitutes “Services” under the TOS, including that the terms and conditions related to limitations on liability, indemnification, intellectual property, the relationship of the parties and governing law will apply to this Addendum and the Program. In the event of any inconsistency between this Addendum and the TOS, the TOS will control.
Partnership Prerequisites
Prior to being accepted to the Program and becoming a Digits AIR partner (“Digits Partner”), you must:
- Fill out Digits’ Partner Application Form;
- Have at least one staff member commit to completing Digits’ advisor certification within 30 days after submission of the Partner Application Form; and
- Have purchased and set up a Digits subscription, including entering in payment information to establish your Practice Billing Account.
(Collectively, the “Partnership Prerequisites”)
Digits will determine in its discretion whether you are accepted to the Program once the Partnership Prerequisites above have been completed. Digits reserves the right to accept or decline any organization or individual as a Digits Partner regardless of whether the Partnership Prerequisites have been met.
Program Benefits
From time to time, Digits may set forth certain details of the Program in documentation provided to you (the “Program Guide”), which is hereby expressly incorporated by reference into this Addendum and may be updated upon written notice (which may be by email).
Once accepted into the Program, you will receive access to the current applicable benefits, including:
- Access to Digits Firm Dashboard
- One subscription to Digits for internal business use
- Access to Partner-only information and support from a Digits Team
Ongoing Obligations
To maintain Digits Partner status, you agree to:
- Actively promote Digits to clients consistent with professional and legal obligations, including Anti-Corruption Laws
- Maintain at least one staff member with up-to-date Digits certification
- Add at least one paid client subscription (excluding internal use) within 60 days of Program acceptance and maintain it
- Follow the marketing obligations in the Program Guide
- Only use Approved Materials for promotion
- Maintain an active hyperlink to www.digits.com on your website (if applicable)
- Promote and use Digits in good faith
Digits Trademarks
You will not seek any rights or registration to Digits-related trademarks. All goodwill from such trademarks will belong solely to Digits. You agree to cease or modify use upon request.
Duration of This Addendum
This Addendum is effective upon your application to the Program and remains in force until:
- Terminated by either party with one month’s written notice; or
- Terminated immediately by either party in the event of material breach
If terminated, you will lose access to all Program benefits.

Status
Partner status is determined by the points scheme (see below) and may be further detailed in the Program Guide. Digits may update or interpret this scheme at its reasonable discretion.
Indemnity
Your indemnification obligations under the TOS extend to claims or actions arising from:
- Your participation in the Program
- Your provision of services or products
- Your breach of this Addendum

Your Partner status is based on the following:
How to Earn Points:
- Owning the subscription for a client on Digits
- Completing Digits Certifications via Digits Academy
Notes:
- Only one point per subscription, regardless of number of invited staff
- Trial organizations do not count
- Subscriptions must be paying
- Points based on active subscriptions per legal entity
- Point values are detailed on the status levels page of Digits.com
Additional Notes:
- At least one staff member must have a current certification or benefits (including discounted pricing) may be suspended
- All business-owned subscriptions must be on one billing account; consolidation may be required to maintain benefits
- Only staff serving clients (defined by login activity in past 60 days) count toward certification requirements
- Points program may be updated at any time via online posting
